　第一条定义 Section 1 Definitions

　1.7“技术资料”，是指列于附件一与制造和维修合同产品有关的工程、制造 及原始资料，包括与制造设备、工具和装置有关的图纸、蓝本、设计图表、材料 规格、照片、影印资料和一般资料，设计及其说明书等。但上述资料仅限于许可 方拥有的资料和接受方用于本合同业务活动的资料；

　Tech ni cal Docume nts means engin eeri ng, manu facturi ng and orig in ati ng

　in formatio n relatio n to the manu facture and servici ng of Con tract Products, in clud ing draw in gs, bluepri nts, desig n sheets, material specificati ons, photographs, photocopies and gen eral data, and desig ns and specificati ons relati ng to manu facturi ng Con tract Products, tools and fixtures, but in cludes, however, only such information as is available to licensor and applicable to the operati ons of Lice nsee un der this Con tract which detailed as per Appe ndix 1 to the Con tract.

　“合同生效日”是指本合同双方有关部门的最后一方的批准日期。

　“ The Date of Comi ng into Force of the Con tract ” mea ns the date of ratificati on of the Con tract by the compete nt authorities of both parties, whichever comes later.

　第二条 合同范围 Sectio n 2 Scope of the Con tract

　2.1接受方同意从许可方取得，许可方同意向接受方授予合同产品的设计、 制造和销售的专利技术。这种技术应与许可方最新产品的技术完全一致。

　Licensee agrees to obtain from Licensor, and Licensor agrees to grant Lice nsee the pate nted tech no logy to desig n. Such Pate nted Tech no logy shall be in exact accorda nee with the tech no logy of Lice nsor latest products.

　2.2合同产品的名称、型号、规格和技术参数详见合同附件二。

　2.3许可方授予以非独占许可方式许可接受方在

　Lice nsor agrees to grant Lice nsee the non-exclusive lice nse and right to desig n, manu facture, use, sell and export the Con tract Products in

　Licensor is responsible for providing

　Licensee with the Technical Docume nts of the Con tract products, in clud ing the mane, content, applicati on for pate nt and nu mber of the pate nt, etc., the specific docume ntatio n is detailed in Appe ndix 1 to the Con tract.

　2.5许可方有责任接收、安排接受方赴许可方培训的技术人员，许可方应设 法使其掌握上述合同产品专利技术。(详见本合同附件三)

　Licensor shall be responsible for the training of Licensee technical pers onnel in Lice nsor releva nt facilities and also do its best to en able Lice nsee tech ni cal pers onnel to master the Pate nted Tech no logy of the aforesaid Con tract Product (details as per Appe ndix 3 to the Con tract).

　2.6许可方负责自费派遣技术人员赴接受方进行技术服务。

　件四)

　Licensor is obliged to send at its own expense technical personnel to Lice nsee factory for tech ni cal service (details as per Appe ndix 4 to the Con tract).

　2.7在合同的执行中，如果接受方需要许可方提供技术服务或一部分生产所 需的零部件或原材料时，许可方有义务以最优惠的价格向接受方提供，

　In the course of impleme ntati on of the Con tract, Lice nsor is un der an obligati on, upon the request of Lice nsee, to provide Lice nsee at the best favorable price with the tech ni cal services or some comp onen ts, spare parts and raw materials which are n ecessary for manu facturi ng the Con tract Products. Whe n the time comes, both parties will sig n the new con tract through frie ndly

　con sultati on.

　2.8许可方同意接受方使用其商标的权利，

　Lice nsor agrees to grant Lice nsee the lice nse and right to use the trade mark of Licensor, while the combined trade mark of both parties or mark the wordi ng producti on accordi ng to Lice nsor's lice nse on the Con tract Products can be also adopted.

　第三条 合同价格 Sectio n 3 Price of the Con tract

　4.2许可方在收到接受方按规定开具有关的单据，接受方在收到许可方出具

　的下列单据后三十天内。经审核无误，即支付专利实施许可费给许可方：

　Lice nsor shall issue the related docume nts, the Royalty fee shall be paid by Licensee to Licensor within 30（thirty） days after Licensee has received the following documents which are provided by Licensor and found them in con formity with the stipulati ons of the Con tract.

　4.3按本合同规定，如许可方需要向接受方支付罚款或赔偿时，接受方有权 从上述支付中直接扣除。

　Licensee shall have the right to deduct from any of the above mentioned payment the penalties and/or compensations which Licensor shall pay in accorda nee with the stipulati ons of the Con tract.

　第五条 技术服务和培训 Article 5 Technical service and Training

　技术服务 Technical Service

　（1）许可方在合同有效期内派遣一名技术专家到接受方，对合同产品的图 纸和技术资料进行解释，并就产品设计、制造、调试和检验，以及维修等方面进 行技术指导，以使接受方在保证合同产品性能的情况下，

　能尽快采用国产的材料

　和元器件，实现合同产品的生产。

　（1）

　During the validity period of the Con tract, Lice nsor shall send a specialist to Lice nsee 's factory to explai n the draw ings and tech ni cal docume nts and to provide technical service in designing, manufacturing, adjustment, in specti on and maintenance of the Con tracted Product so to en able Lice nsee to use, as fast as possible, home material sand raw comp onents without affect ing the properties of the Products so manu factured.

　（2）许可方在合同有效期内分两次派遣技术人员赴接受方进行技术服务， 共

　（2） Licensor shall twice send its specialists to Licensees factory to provide tech ni cal service for a total of

　（5） Licensor shall, for its specialists, bear their travelling expense. Licensee shall be responsible for Boarding and lodging and affording the means of conv eya nee from the lodgi ng place to the factory.

　第六条 技术资料 Article 6 Technical Documents

　6.1以许可方应按本合同附件一规定的内容和时间，在

　Lice nsor shall accord ing to the delivery schedule and details stipulated in

　Appe ndix 1 to the Con tract, deliver the docume nts at

　6.3在每批技术资料发运后24小时内，许可方应将合同号、空运提单号、 空运报单日期、资料项目、件数、重量、航班号和预计抵达日期用电报或电传通 知接受方。同时将空运提单和技术资料详细清单各一式 2份寄给接受方。

　Within twen ty-four hours after the dispatch of each lot of the tech ni cal docume nts. Lice nsor shal1 no tify Lice nsee by cable or telex of the con tract nu mber, nu mber and date of the air con sig nment no te, items of the docume nts,

　nu mber of pieces, airmail to Lice nsee two copies of each of the air con sig nment note and detailed list of the tech ni cal docume nts.

　6.4若技术资料在空运中丢失、损坏、短缺，许可方应在收到接受方书面通 知后30天内，免费外寄或重寄给接受方。在接受方收到技术资料后

　60天内，

　如果没有以书面形式提出资料不全或增补要求，则视为接受方验收。

　If the tech ni cal docume nts are found lost, damaged or mutilated duri ng air transportation, Licensor shall supply Licensee free of charge with a second lot

　of documents within the shortest possible time but not later than thirty days after it has received from Licensee the written notice. Within sixty days after Lice nsee has received the docume nts from Lice nsor, if Lice nsee does not declare the shortage and request to cover the same, it is con sidered accepta nee.

　6.5技术资料采用英文，计量单位以公制表示。

　The tech ni cal docume nts shall be in En glish and based on metric system of measureme nts.

　第七条 考核与验收 Article 7 Verification and Acceptanee

　7.1合同产品的第一台样机，由双方组成的联合考核小组，按附件 5规定的 时间和内容进行考核。如果符合附件一规定的技术要求， 即可验收，并由双方代 表签署合同产品考核验收合格证书一式 4份，双方各执两份。

　The Verification Test on the first sample machine of the Contracted Product shall be carried out by the joint group consisting of Licensee and Lice nsor represe ntatives accord ing to the schedule and contents stipulated in in Appe ndix 5 to the Con tract. If the performa nee of the Con tracted Product is in

　conformity with the technical specifications stipulated in Appendix 1, such test shall be considered as qualified and the representatives of both parties shall sign the In spect ion and Testi ng Certificate for the proper performa nee of the Con tracted Product in quadruplicate, 2 copies for each party.

　7.2如果合同产品的技术性能达不到规定的技术标准，

　同研究，分析原因，采取措施，消除缺陷，进行第二次性能考核。考核合格后， 双方签署考核合格证书。

　If the Verificati on Test dem on strates that the performa nee of the Con tracted Product is not in eon formity with prescribed tech ni cal specificati ons, both parties shall, through amicable negotiations, make a joint study of and analyze the cause and take measures to eliminate the defects and carry out a sec ond test. Whe n the sec ond test dem on strates the performa nee is qualified, both parties shall sig n a test ing certificate for the proper performa nee.

　7.3如果第一次考核不合格是许可方责任，

　许可方应自费再次派遣技术人员

　进特第二次考核。

　If Licensor is responsible for the failure of the first test, Licensor shall dispatch at its own expe nse tech ni cal pers onnel for the sec ond test.

　7.4经过第二次考核仍不能合格验收，

　若责任在于许可方，则许可方须赔偿

　接受方遭受的直接损失。并采取措施消除缺陷，进行第三次考核。

　If the second test fails again and the failure is attributed to Licensor ， Lice nsor shall indemnify Lice nsee for any losses susta ined and shall take effective measures to eliminate the defects and carry out a third test.

　7.5经过第三次考核仍不合格，如系许可方责任，则接受方有权终止合同， 并接第九条的规定处理。若系接受方责任，则由双方协商合同进一步执行的问题。

　If the third test aga in fails, and if Lice nsor is resp on sible for the failure

　，

　Lice nsee has the right to termi nate the Con tract at its discreti on and lodge claims as stipulated in Article9. If the responsibility for the failure lies with Licensee, the two Parties shall n egotiate as to how to further impleme nt the Con tract.

　第八条 技术改进 Article 8 Technical Improvements

　8.1许可方提供的技术资料，如有不适合接受方生产条件的（如设计标准、 原材料、外购配件及共他生产设备等，许可方有责任帮助接受方修改技术资料，

　并加以确认。在不影响合同产品性能情况下，应采用国产的原材料、配套元器件 和设备。

　If the technical documents provided by Licensor are not applicable to Lice nsee actual product ion con diti ons (such as desig n sta ndards, raw materials, purchased parts for the machi ne, product ion facilities), Lice nsor is obliged to assist Lice nsee in modify ing the tech ni cal docume nts and confirm the same. upon the condition that the properties of the Contracted Products are not affected, raw materials, fitt ings and equipme nt of domestic origi n may be used.

　8.2在合同有效期内，双方对合同产品的任何改进和创新，

　都免费将改进或

　创新的技术资料提供给对方。

　During the curre ncy of the Con tract. If either of the two parties effect improveme nts on or developme nts of the Products with in the period stipulated

　in the Con tract，the said party shall submit, free of charge, to the other party the tech no logical in formati on concerning such improveme nts or developme nts.

　8.3改进或创新的技术所有权属于改进或创新一方，

　另一方不得对其申请专

　利或将其转让给第三者。

　The ownership of such improvements on or developments of the Contracted Product shall belong to the party who has effected such improveme nts or developme nts. The other party shall not apply for pate nt or

　transfer the same to any third arty.

　第九条 保证和索赔 Article 9 Guarantees and Claims

　9.1许可方保证所提供的技术资料是许可方经过实际使用的最新技术资料，

　并保证向接受方及时提供任何改进和发明的技术资料。

　Licensor guarantees that the technical documents to be supplied by Licensor are the latest technical information which has been put into practical use by Licensor. Licensor also under takes to supply to Licensee in time the tech ni cal in formati on releva nt to any developme nt of or improveme nt on the

　Con tracted Product.

　9.2许可方保证所提供的技术资料是完整的、正确的、清晰的，并保证按时 交付。

　Licensor guarantees that the technical documents to be supplied by Lice nsor are complete, correct, legible and are to be dispatched in time.

　9.3如果许可方提供的技术资料不符合第六条规定，许可方必须在收到接受 方书面通知后30天内免费将所缺的技术资料，或清晰、正确的资料寄给接受方。

　If the documents supplied by Licensor are not in conformity with the stipulation in Article 6, Licensor shall, within the shortest possible time but not later tha n 30 days after receipt of Lice nsee writte n no tice, dispatch free of charge

　to Licensee the missing or the correct and legible technical documents.

　9.4如许可方的技术资料不能按本合同附件一规定的时间交付，

　许可方则须

　按下列比例支付罚款给接受方：

　If Lice nsor fails to dispatch the said docume nts with in the stipulated period as per Appe ndix 1, Lice nsor shall pay pen alty to Lice nsee in the follow ing proporti ons:

　（1）迟交1至4周，罚款为合同总价的

　9.5许可方按本条规定被罚款时，并不解除其继续交付技术资料的义务。

　The payment of penalties by Licensor to Licensee as stipulated in Article

　9 shall not relieve Licensor of its obligation to deliver the said documents.

　9.6如果许可方迟交技术资料6个月以上，接受方有权终止合同。许可方须 将接受方已给交付的全部金额，并加年利

　 的利息，一并退还接受方。

　Whenever the delay in delivering the said documents exceeds 6

　mon ths， Lice nsee shall be en titled to term in ate the Con tract at its discretio n and Licensor shall be obliged to refund Licensee all its payments together with the corresponding interest at the rate of

　percent per annum.

　9.7由于许可方责任，验收不合格，造成接受方有能正常投产而终止合同时， 许可方应退还接受方已经支付给许可方的全部金额，并加年利

　%的利

　息。

　If the verificati on tests fail with the resp on sibility lyi ng with Lice nsor and

　if，as the result, Lice nsee cannot start no rmal producti on with the Con tract hav ing to be term in ated, Lice nsor shall refund all the payme nts previously made by Lice nsee to Lice nsor together with the in terest at the rate of

　perce nt per

　annum.

　9.8如因许可方原因，产品部分性能指标没能达到合同产品的规定时，

　机具

　 予以赔偿，但是，若因接受方原因产

　品没能达到性能指标时，接受方应按合同规定支付全部金额。

　If only some aspects of the properties of the Product are not up to the sta ndards as stipulated in the Con tract and the resp on sibility lies with Lice nsor, Lice nsor shall compe nsate Lice nsee with

　perce nt of the total Con tract price

　accord ing to Con tract circumsta nces. If the resp on sibility lies with Lice nsee. Lice nsee shall pay the total Con tract price in accorda nce with the stipulati ons.

　第十条 保密 Article 10 Confidentiality

　10.1许可方根据本协议所提供的一切图纸、设计、说明书及其他技术资料， 接受方均须严格保密；未得到许可方的书面同意，不得以任何方式出售、转让或 泄露给任何人，但不包括接受方为生产合同而使用技术资料的雇员。

　但是，接受

　方可以向分包合同人提供生产合同产品部件所必须的技术资料，

　分包人须书面保

　证对其所得到产技术资料承担严格的保密义务。

　All draw in gs, desig ns, specificatio ns and all other tech ni cal in formati on made available un der this Con tract by Lice nsor shall be kept strictly con fide ntial by Licensee who shall not sell, transfer or divulge it in any manner to anyone except those of its own employees who will be using it in the manufacture of the Products, without prior writte n consent of Lice nsor. Lice nsee may. however ， supply such tech ni cal in formati on to its subc on tractor to the exte nt n ecessary for such subc on tractor to manu facture parts of Con tract Products, provid ing that Lice nsee shall have such subc on tractor agree, in writ ing, to hold tech ni cal in formatio n strictly in con fide nee.

　10.2若上述技术资料由许可方或任何第三方部分或全部公开，则接受方对 已公开的技术不再承担保密义务。

　If ease any part (s) or all of the above-mentioned technieal information have been made public by Licensor or any third party. Licensee shall be thus released form the responsibility for keeping secret the part(s) or all of the tech no logy already published.

　10.3本合同终止后，接受方有权使用许可方所提供的专利，即接受方可以 继续设计、制造、使用、销售和出口合同产品。

　After the term in ati on of the Con tract, Lice nsee shall have the right to use the patents supplied by Licensor, Licensee shall still have the right to design, manu facture, use, and export Con tract Products.

　第 条侵权 Article 11 Infringement

　11.1许可方保证，它是依本合同条款转让给接受方的专利权的合法所有人， 在法律上享有向接受方转让专利权的权利。若发生侵犯任何第三者权利的事件， 则许可方应对侵权事件负责，并承担由此而产生的全部法律和经济责任。

　Lice nsor guara ntees that it is the legitimate owner of the Pate nt to the stipulati ons of the Con tract, and that it is lawfully in a positi on to tran sfer the Pate nt to Lice nsee. of accusati on of infringing the rights of a third party occurs, Licensor shall be responsible for the matter and fully the legal and economic responsibilities arising therefrom.

　11.2本合同附件一列明许可方关于合同产品的专利和专利申清。合同生效

　后一个月内，许可方将向接受方提供 2份专利证书和专利申请的影印本

　A complete list of Lice nsor pate nts and pate nt applicatio ns releva nt to

　Con tract Products are specified in Appe ndix l to the Con tract. Within one month after the Con tract has come into force Lice nsor shall dispatch to Lice nsee two photostat copies of the letters pate nts and pate nt applicati on( s).

　第十二条 税费 Article 12 Taxes and Duties

　12.1凡因履行本合同而发生在接受方国家以外的一切税费，均由许可方负 担。

　All taxes, customs duties and other excises arising in connection with the performa nee of the Con tract outside the territory of Lice nsee country shall

　be borne by Lice nsor.

　12.2许可方因履行本合同而在中国境内获得的收入，

　必须按中国税法纳税。

　In the executi on of the Con tract ， any in come made by Lice nsor with in the territory of China shall be subject to taxation according to the tax laws of the People's Republic of Chi na.

　第十三条 不可抗力 Article 13 Force Majeure

　13.1签约的任何一方，由于战争、严重水灾、火灾、台风、地震以及双方

　同意的其他不可抗力事故而无法按期执行合同时，则可延长合同的期限，延长期 相当于事故所影响的时间。

　If either of the con tract ing parties is preve nted from executi ng the Con tract by Force Majeure eve nts such as war, serious flood, fire, typho on and earthquake, or other eve nts agreed upon betwee n both parties, the term for the executio n of the Con tract may be exte nded by a period equal to that affected by the eve nt(s).

　13.2受影响的一方应尽快将发生不可抗力事故的情况以电传或电报通知对 方，并于此天内以航空挂号邮件将有关当局出具的证明文件提交另一方确认。
