　agreement executed on the basis of mutual resp ect.

　一、概况

　三、关于材料供应的约定

　AGREEMENT ON THE SUPPLY OF MATERIALS

　1.乙方提供的材料：乙方供应的材料、设备

　，如不符合设计、施工要求，应禁止使用。如已使用，对工程造成的损失

　由乙方负责。如甲方要另增加材料由甲方供应，并应符合下列规定：Material provided by Party B: Any materials or equipment supplied by Party B which do not meet the design and construction requirements are prohibited. Any extra materials requested by Party A which were not in the original design must be paid for by Party A.2. 甲方提供的材料：另拟补充附件 < 甲方提供材料、设备表 > 甲方负责采购供应的材料、设备，应符合设计施工要求的合格产品，并应按时供应到现场。乙方发现甲方提供的材料、设备 有质量问题或规格差异，应及时向甲方提出，甲方仍要求使用的，由此造成工程损失，责任由甲方承担。甲方供应 的材料按时抵达现场后，由乙方负责保管Material provided by Party A: (see the annex:

　acquires materials for the project, it should first check with Party B that the materials match to the design requirements, and once the materials are in the care of Party B, then Party B is responsible for the materials. If Party A requires some materials which do not fit to the design then it shall be the responsibility of Party A to pay any additional costs incurred by Party B.

　四、 关于工程质量及验收的约定

　FULFILMENT OF THIS AGREEMENT

　1. 本工程应符合 <建筑装饰工程技术规程 > 和市建设行政主管部门制定的其它地方标准 质量评定验收标准

　The execution of this project must be consistent with the

　“ Architectural and Engineering tRhuelecsity

　administrative departments responsible for the development of buildings and local standards and quality evaluation acceptance criteria.

　2. 本工程由乙方进行设计，提供施工图纸一式两份，双方签字确认

　Party B must provide a duplicate copy of the construction designs and drawings, and both copies should be signed by both parties.

　甲方提供的材料、设备质量不合格而影响工程质量，其返工费用由甲方承担，工期相应顺延 If materials provided by Party A for the construction do not meet the necessary requirements, Party A shall bear responsibility for any resulting delays in the completion in the

　project.

　由于乙方原因造成质量事故，其返工费用由乙方承担

　If the quality of Party B's work results in any accidents, the liability for such accidents shall be the responsibility of Party B.

　在施工过程中，甲方提出设计修改意见及增减工程项目，须提前与乙方联系，在双方签订

　方能进行该项目的施工、因此影响工程竣工日期的，责任由甲方承担。凡甲方私自与施工人员商定更改施工内 容、增加施工项目所引起的一切后果，甲方自负，给乙方造成损失的，甲方应予赔偿

　If, during the construction, Party A wishes to propose a change to the design, he should sign a Project ” with Party B and must assume responsibility for resulting delays or increase in costs. If Party A secretly attempts to change to design directly with the construction personnel and this action causes loss to Party B, then Party A must compensate Party B for this loss.

　工程验收：乙方负责理隐蔽工程和中间工程的检查与验收手续。由乙方组织专门人员进行验收。一切理隐蔽工程 和中间工程的质量由乙方负责

　五、有关安全生产和防火的约定

　SAFE PRODUCTION AND FIRE REGULATIONS

　施工图纸和施工说明应符合防火 防事故的要求，主要包括电气线路等管道畅通、合格。乙方在施工中应采取必要 的安全防护和消防措施，保障作业人员及相邻关系的安全

Party B shall take measures to ensure the safety of workers and neighbors at the constructions site and must prevent leakage of water, interruptions of power and damage to property.

　施工中凡涉及改变房屋结构，拆、改承重墙，加大楼(地)面荷载，由甲方向物业管理部门提出申请，经所在 地建设行政主管部门批准后方能施工 Any changes to the housing structure or demolition or alteration to load bearing walls or increase in floor load must first be approved by the building property management before construction begins.

　Party A

　甲方应在开工前确认施工图纸并腾出足够的施工空间，以清除影响施工的障碍物。甲方向乙方提供施工需用 的水、电等必备条件，并说明使用注意事项

P arty A must make sure that P arty B has everything necessary on site for compi etion of the construction, p articularly electricity and water.

　LIABILITY FOR BREACH OF CONTRACT

　由于甲方原因导致延期开工或中途停工，工期顺延

　If P arty A causes any delays to the compi etion of this p roject, then the scheduled compi etion date should be adjusted accordingly.

　If P arty B causes any delay to the compi etion of this p roject, then P arty B must pay to P arty A a fee of 0.1 （in words: 1/1000）of the total overall project fee for each day beyond the scheduled compietion date.

　甲方未办理有关手续，强行要求乙方拆改原有建筑承重结构及共用设备管线，由此发生的损失或事故（包括罚款） 由甲方负责并承担责任

　If P arty A instructs P arty B to make any alterations to a load bearing wall and P arty A has not sought and received p ermission from the building prop erty management, P arty A shall be respo nsible for any resulting costs and shall indemnify P arty B for any additional exp enses incurred.

　乙方擅自拆改原有建筑承重结构或共用设备管线，由此发生的损失或事故（包括罚款），由乙方负责并承担责任

　If P arty B makes any unauthorized changes to load bearing walls or building pip elines and such changes result in damages or loss, it shall be the respo nsibility of P arty B to pay for such loss.

　工程未办理验收、结算手续，甲方提前使用或擅自动用工程成品由此造成无法验收和损失的

　纠纷处理方式

　DIS PUTES

　因工程质量双方发生争议时，凭本合同文本向有关行业协会申请调解，也可向所在区、县建设行政主管部门或消费 者协会投诉

　If there is a dis pute between the p arties, this contract should be submitted to the relevant trade association for mediation and also to the host district and county building dep artments in charge of administrative compi aints, or to consumer associations.

　if, after negotiation, mediation and/or consultation, the p arties have failed to reach an agreement, then the dis pute should be:submitted to the--Shanghai Arbitration Commission-filed as a lawsuit.

　九、合同变更和解除

　AMENDMENT AND TERMINATION

　合同经双方签字生效后，双方必须严格遵守。任何一方要求变更合同内容或解除合约，由双方协商解决，经双方签字 确认后生效

　After this contract is signed it must be strictly adhered to. After the contract is signed, neither p arty can leave the contract without agreement of the other p arty.

　本合同签订后，工程不得转包

　After this contract is signed, the p roject shall not be sub-contracted.

　本合同一式 两份，甲、乙双方各执 1份，合同附件为本合同的组成部分，具有同等的法律效力

　This contract will be p rinted and signed in dup licate and each p arty shall kee p a copy.

　十、其它约定

　FINAL CLAUSES

　如遇不可抗力因素，工期顺延

　In the event of force majeure, this contract will be delayed and resume as soon as p racticably p ossible.

　其他未在本合同内规定的事项双方协商解决

　If any matters arise which are not covered within this contract, they shall be dealt with by mutual consultation between the two p arties.
